These Terms and Conditions (the “Terms”) govern your participation in the Program operated by Big Day Card (the “Company,” “we,” “us,” or “our”) through our affiliate subdomain at https://affiliates.bigdaycard.com/. By enrolling in the Program, you (“Affiliate,” “you,” or “your”) agree to be bound by these Terms. If you do not agree to these Terms, do not participate in the Program.

1. Enrollment and Eligibility

To enroll in the Program, you must complete the registration process on https://affiliates.bigdaycard.com/ and provide accurate and complete information. We reserve the right to approve or reject any application at our sole discretion. You must be at least 18 years old (or the age of majority in your jurisdiction) to participate.

Upon approval, you will receive a unique affiliate link or code to promote our website (bigdaycard.com) and its products/services. You represent and warrant that:

• You have the legal right and authority to enter into these Terms.
• Your participation in the Program will not violate any applicable laws, regulations, or third-party rights.
• You will not engage in any fraudulent, deceptive, or unethical practices.

2. Affiliate Obligations

As an Affiliate, you agree to:

• Promote our website and products/services in a truthful, accurate, and professional manner.
• Use only approved marketing materials and comply with our branding guidelines, if provided.
• Disclose your affiliate relationship in all promotions (e.g., by including “#ad” or “affiliate link” where required by law, such as FTC and UCPD guidelines).
• Not engage in spamming, unsolicited emails, or any form of prohibited advertising (e.g., false claims, misleading content, or unauthorized use of our trademarks).
• Not bid on our brand keywords in paid search campaigns or use our domain in display URLs without prior written approval.
• Not promote our site on websites that contain illegal, offensive, or inappropriate content.

You are solely responsible for the content and methods of your promotions. We may monitor your activities and terminate your participation if we determine, in our sole discretion, that you have violated these Terms.

3. Commissions and Payouts

3.1 Commission Structure

Commissions are earned on qualifying referrals that result in a purchase on bigdaycard.com through your unique affiliate link. Commission rates are as specified in your affiliate dashboard or during enrollment. Commissions are calculated based on net sales (excluding taxes, shipping, refunds, and chargebacks).

Qualifying referrals must be new customers who have not previously purchased from us, unless otherwise specified. We reserve the right to reverse commissions for fraudulent transactions, returns, or disputes.

3.2 Payouts

• Minimum Payout Amount: The minimum commission balance required for a payout is $25 USD.
• Payout Timing: You may request a payout once your commission balance reaches the minimum amount. Payouts are processed after a 30-day holding period from the date of the qualifying purchase. This holding period allows time for any potential disputes, refunds, or chargebacks from customers who made the purchase.
• Payment Methods: Payouts are made via the methods available in your affiliate dashboard (e.g., PayPal, bank transfer). You are responsible for selecting and configuring your preferred payment method accurately.
• Fees and Charges: Affiliates are responsible for any fees, taxes, or charges associated with their chosen payment method, including but not limited to transaction fees, currency conversion fees, or withholding taxes. We will deduct any applicable Company-side fees before payout.
• Incomplete Information: It is your responsibility to provide complete and accurate payout information. Transactions lost or delayed due to incorrect or incomplete payout information (e.g., wrong email, account details, or address) cannot be recovered or compensated by us.
• Taxes: You are responsible for reporting and paying any taxes on commissions earned, in accordance with applicable laws in your jurisdiction.

We reserve the right to adjust commissions or withhold payouts if we suspect fraud, violations of these Terms, or for any other reason at our discretion.

4. Tracking and Cookies

Referrals are tracked using cookies. The cookie duration is 30 days, meaning a purchase must occur within that period after clicking your affiliate link to qualify for a commission. We are not responsible for lost commissions due to cookie blocking, deletion, or technical issues beyond our control.

5. Termination

Either party may terminate your participation in the Program at any time, with or without cause, by providing written notice (email suffices). Upon termination:

• You must immediately cease using all affiliate links and promotional materials.
• Any unpaid commissions above the minimum payout threshold will be paid within 30 days, subject to the holding period and these Terms.
• Commissions below the minimum or earned in violation of these Terms will be forfeited.

We may terminate your account immediately if you breach these Terms, engage in prohibited activities, or if your account is inactive for an extended period.

6. Intellectual Property

We grant you a limited, non-exclusive, revocable license to use our approved logos, banners, and promotional materials solely for promoting the Program. You may not modify these materials without our consent. All intellectual property rights remain with us.

You grant us a non-exclusive, royalty-free license to use your name, likeness, and promotional content for marketing the Program.

7. Disclaimers and Limitation of Liability

The Program is provided “as is” without warranties of any kind, express or implied. We do not guarantee uninterrupted access, error-free tracking, or specific earnings.

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the Program, including lost profits or data. Our total liability shall not exceed the commissions paid to you in the preceding 12 months.

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your promotions, violations of these Terms, or misuse of the Program.

8. Privacy and Data

You must comply with all applicable privacy laws (e.g., GDPR, CCPA) in your promotions. We collect and process affiliate data as described in our Privacy Policy, available on bigdaycard.com.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of Cyprus, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of Cyprus.

10. Changes to Terms

We may update these Terms at any time by posting the revised version on https://affiliates.bigdaycard.com/. Your continued participation constitutes acceptance of the changes. It is your responsibility to review the Terms periodically.

11. Miscellaneous

These Terms constitute the entire agreement between you and us regarding the Program. If any provision is deemed invalid, the remaining provisions shall remain in effect.

No waiver of any breach shall constitute a waiver of any other breach. You may not assign these Terms without our consent; we may assign them freely.
